The terms governing use of the Optivance service.

These Terms of Service ("Terms") govern your use of the Optivance service provided by Optivance Ltd. By using the service you agree to these Terms.
1. The service
Optivance provides an AI receptionist that answers calls and messages, captures leads, and books appointments on your behalf. We may improve and update features over time.
2. Accounts
You are responsible for your account, for keeping credentials secure, and for activity under your account. You must provide accurate information.
3. Acceptable use
You agree not to misuse the service, including any unlawful use, infringement of others' rights, attempts to breach security, or disruption of the service. You are responsible for obtaining any consents required to record or process calls and messages in your jurisdiction.
4. Customer data and ownership
You retain ownership of your data. You grant us a limited licence to process it solely to provide the service. Our handling of personal data is governed by our Privacy Policy and Data Processing Agreement.
5. Fees
Paid plans are billed as described at sign-up. Fees are exclusive of VAT unless stated. Late or failed payments may result in suspension.
6. Availability
We aim for high availability (target 99.9%) but do not guarantee uninterrupted service unless a separate SLA applies. We perform maintenance with reasonable notice where practical.
7. Intellectual property
We and our licensors own the service and all related intellectual property, excluding your data.
8. Confidentiality
Each party will protect the other's confidential information.
9. Warranties and liability
The service is provided "as is" to the extent permitted by law. Nothing in these Terms limits liability that cannot be limited by law. Subject to that, our aggregate liability is limited as set out in your order form or, if none, to the fees paid in the preceding 12 months.
10. Termination
Either party may terminate as described here. On termination you may export your data; we then delete it in line with our retention policy.
11. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
